Acceptance of terms

By accessing or using the BlackMonday website (the "Site") and any associated products, tools, or information (together, the "Services"), you agree to these Terms of Service (the "Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not access or use the Services.

Eligibility

The Site is intended for informational purposes and for use by individuals who are at least 18 years old. Certain Services may require registration or authenticated access, and may be made available only to eligible users.

Nothing on the Site is an offer or solicitation to anyone in any jurisdiction in which such an offer or solicitation is not authorized, or to any person to whom it is unlawful to make such an offer or solicitation.

The services

BlackMonday provides quantitative research, data infrastructure, and related tools. The Site may describe products such as the BlackMonday Terminal and BlackMonday Connector and publish research notes.

We may add, modify, suspend, or discontinue any part of the Services at any time. Some features are described as in development and may not be available, may change materially, or may never be released.

No investment advice

All content on the Site is provided for general informational purposes only and does not constitute investment, financial, legal, tax, or other professional advice, nor a recommendation, offer, or solicitation to buy or sell any security or financial instrument.

Past performance is not indicative of future results. You are solely responsible for evaluating the merits and risks of any decision and should consult your own advisers. BlackMonday is not acting as your fiduciary or adviser by providing the Services.

Accounts & access

Some Services require an account or authenticated access. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use.

We may suspend or revoke access at our discretion, including where we believe access has been compromised or these Terms have been breached.

Acceptable use

You agree not to:

• use the Services for any unlawful, fraudulent, or harmful purpose;
• scrape, harvest, or systematically extract data except as expressly permitted;
• reverse engineer, interfere with, or attempt to gain unauthorized access to the Services or related systems;
• misrepresent your identity or affiliation, or circumvent access controls; or
• use the Services to develop a competing product or to redistribute our content without permission.

Intellectual property

The Services, including all text, research, software, designs, logos, and the BlackMonday name and marks, are owned by BlackMonday or its licensors and are protected by intellectual property laws. Except for the limited right to access and use the Services as permitted, no rights are granted to you.

You may not copy, reproduce, republish, or create derivative works from our content without our prior written consent.

Third-party services

The Services may integrate with or link to third-party products, data sources, and platforms. We do not control and are not responsible for third-party services, and your use of them is governed by their own terms. Third-party trademarks are the property of their respective owners and are used for identification only.

Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or secure, or that any information or data will be accurate, complete, or current.

Limitation of liability

To the maximum extent permitted by law, BlackMonday and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Services.

Our aggregate liability for any claim relating to the Services will not exceed the greater of the amounts you paid us for the Services in the twelve months preceding the claim, or one hundred US dollars (US$100).

Indemnification

You agree to indemnify and hold harmless BlackMonday and its affiliates from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including breach of these Terms. Upon termination, the provisions that by their nature should survive — including ownership, disclaimers, limitation of liability, and indemnification — will continue to apply.

Governing law

These Terms are governed by the laws of the jurisdiction in which BlackMonday is established, without regard to conflict-of-laws principles. The courts located in that jurisdiction will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be made apparent through the Site. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
